Clear Channel Broadcasting, Inc. its subsidiaries and affiliated companies (together, the "Company"), will conduct the Contest substantially as described in these rules, and by participating, each participant agrees as follows:
The Company may conduct the Contest concurrently and simultaneously on several participating radio stations owned and not owned by the Company, and in various States, and the Company may add or remove participating stations or change call letters of any participating station at any time during the Contest as announced on the affected station. Participating stations are listed above.
1. Description of Contest/Participation.
Dates of Contest: The Contest will begin June 15, 2010 and end on or about July 26, 2010.
NO PURCHASE NECESSARY. PURCHASE DOES NOT INCREASE ODDS OF WINNING. Void where prohibited. Odds of winning depend upon the number of participants.
Entry Guidelines:
- Must be FCC acceptable, including no use of indecent or obscene material or language.
- Content should not infringe or violate any copyright, patent, trademark, trade secret, right of publicity, or other intellectual property, proprietary, or contractual right of a third party.
- No defamatory or libelous material or material which discloses private or personal matters concerning any person, without such person's consent.
- No content or material that is illegal, contains nudity or is sexually explicit, or by law, obscene, profane or pornographic.
- No misrepresentation or disparaging remarks about Sponsor or its products, or other people, products or companies.
- No content which implies or portrays graphic violence excessive use of alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous.
- No content which is abusive or harassing towards any individual or group of individuals regarding race, sex, religion, creed, national origin, age, disability, gender identity or expression, sexual orientation or any legally protected classification. Specifically this includes, but is not limited to, epithets or slurs (such as the "N" word), threats, intimidations, or hostile acts.
- No content communicating messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate.
The Station and sponsor reserve the right to reject any entry, in their sole discretion, based on the terms set forth herein as well as current broadcast standards and other programming and operating practices and policies established by the Station for airing advertising. Sponsor reserves the right to waive the Contest entry requirements set forth herein in its reasonable discretion. ENTRIES POSTED TO THE WEBSITE WERE NOT EDITED BY SPONSOR AND ARE THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANT AND DO NOT REFLECT THE VIEWS OF SPONSOR IN ANY MANNER. Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to entrants. Sponsor reserves the right, in its reasonable discretion, during or upon completion of the Promotion Period, to request that any entrant resubmit his or her Entry which fails to comply with the Contest entry requirements prior to any judging or voting period.
ENTRY CRITERIA:
- Entry submission of the solo artist or music group or band performing one original song.
- Song performance should be no longer than 4 minutes in length.

- Windows Media Entry (WMV) - Entry recording must have a resolution of 320-240
WARRANTY:
By submitting a Entry you warrant and represent that the Entry is an original work, created solely by you (or by yourself and others who have each granted you authority to license the rights stated herein), and that the use of the Entry as licensed hereunder does not infringe on any third party's intellectual property rights, including copyrights, trademarks or other proprietary or personal rights. You warrant and represent that the Entry does not contain defamatory, inaccurate, abusive, obscene, profane, sexually oriented, or threatening material. The song you perform shall be a song that you own or control 100% of the rights to the publishing and master recording. The Entry shall be free and clear of any claims by any person whose performances or depictions are embodied in the work, or any person rendering services in connection with the work. The Entry shall not contain any materials owned or controlled by a third party for which you have not obtained a license, such as samples, clips, "mashups", "remixes" or the like. The Station reserves the right to remove and Entry that it deems to be in violation of these Official Rules.
CONDITIONS ON PARTICIPATION:
By participating, you agree (a) to be bound by these Official Rules; (b) as between you and the Station and the Contest Sponsor, that the decisions of the Station is final on all matters relating to the Contest; (c) you are not participating on behalf of any employer or third party; and (d) if you or any member of your band that is granting rights to the entry submitted in the Contest is a party to any third party agreement with a record label, production company, publishing company or any other third party, such agreement does interfere with the rights granted to the entry in this Contest and/or receipt of any of the prizes listed herein, nor will you (or you and others who have each granted you authority to license the rights stated herein) enter into an agreement with any entity that would grant or transfer any rights of your entry submitted herein.
OWNERSHIP AND ENTRY LICENSE GRANTED:
By entering you are not required to transfer ownership over your entry to anyone. However, in consideration of the chance to win a prize hereunder, by submitting the Entry to us, you hereby grant to us a worldwide, non-exclusive, non-restrictive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, transmit, make available, prepare derivative works of, display, and perform the Entry (including any title of the Entry and your name and likeness) in connection with the Station and the Contest (and all places where some or all content from the Station's website is available) and otherwise in connection with the Station's and the Company's businesses, including without limitation for promoting and redistributing part or all of the Station, its website, or iheartradio.com (and derivative works thereof) in any media formats and through any media channels now known or hereinafter developed without time limitation. You also hereby grant each user of the Station's website a non-exclusive license to access the Entry. If you do not want grant the rights as set forth herein, please do not participate in the Contest.
PUBLICITY RELEASE:
Additionally, you agree to grant to the Company all rights to use any Entry that you submit, and the image, likeness, voice, name and photographs in the Entry or otherwise submitted or provided by you in any publicity or advertising relating to the Entry or the Company and the Contest, without compensation or approval (except where prohibited by law) in any and all media now known or hereinafter developed without territorial, time or other limitations.
INTELLECTUAL PROPERTY INFRINGEMENT CLAIMS:

How to Enter:
To enter, upload an MP3 file featuring an original song performance to the music genre or genres that you believe best describes the song, in accordance with the entry guidelines set forth above, along with a completed entry form, signed consent and release obtained from the Station's website at www.iheartradio.com by one of the methods listed below. All entries will become property of the Company and will not be returned.
Register by logging onto Clear Channel's NEW! Program accessible through participating stations websites and follow the contest links and complete the on-line registration and release forms. Deadline for online registration is 11:59pm ET on July 26, 2010.
Multiple entries by genre of music permitted per Contestant and any prize awarded in the Contest will only be made to the Contest entrant across the genres of Rock, Alternative, Hit and Country. Contestant must be the owner of the material submitted. No licensed materials accepted.
Valid Contest entries must contain all information requested. Incomplete entries will be disqualified. All entries must be received by 11:59pm on July 26, 2010 to be eligible for consideration. All Contestants must be at least 18 years old. All entries become the property of the Company and will not be returned. Recording can only be entered into the music genre the artist finds appropriate and can be submitted into multiple formats of music.
Contest Procedures:
All eligible entries will be posted on the Station's website at www.iheartradio.com
On or about July 26, 2010, a panel of judges, provided by the Company (the "Elimination Panel"), will judge all Entries received. The Elimination Panel will select up to 500 Entries. Selected artists will not be notified of such selection/progression in the Contest.
A second panel of judges, provided by the Muscular Dystrophy Association and the Company (the "Selection Panel"), will judge all Entries provided by the Elimination Panel. The Selection Panel will select four (4) Grand Prize Winners from each genre: Rock, Alternative, Hit and Country, based on originality, artistic ability, lyrical content, and overall sound. Winners will be notified approximately 12 days following the contest registration deadline (July 26, 2010). The Grand Prize Winners will be notified by Clear Channel Radio Digital by telephone and/or e-mail. If a winner cannot be contacted from the information provided on the Internet registration form, the Company reserves the right to select another winner in its sole discretion. All decisions of the judges are final.
The Selection Panel may also select up to twenty (20) Runners-Up. One or more of those Runners-Up may be selected by Clear Channel Radio Digital or the Muscular Dystrophy Association to have their respective Entries included in commercial ventures of Clear Channel Radio Digital or the Muscular Dystrophy Association, including but not limited to other materials relating to the telethon. However, Clear Channel Radio Digital or the Muscular Dystrophy Association may or may not opt to use, and is under no obligation to use the Runners'-Up Entries for such commercial ventures.
Winner Selection:
At the conclusion of the voting period the Company will select the Grand Prize Winner based on originality, artistic ability, lyrical content, and overall sound.
All decisions of the judges will be final.
2. Prize(s). The prize(s) that may be awarded to the eligible winner(s) are:
Grand Prize: The opportunity to play a 5-minute set during the Muscular Dystrophy Association's televised Labor Day Telethon, to be broadcast on September 5 and 6, 2010 from Las Vegas.
A Grand Prize Package consisting of:
* A live performance at the 2010 MDA Telethon in Las Vegas, NV
* Domestic roundtrip coach airfare to Las Vegas for the artist/band's performance at the MDA Telethon
* Hotel accommodations at the South Point Hotel in Las Vegas
* Ground transportation to and from the hotel in Las Vegas
* Meals
* Total value of prize: $6,000.00 per winning group
Prize provided by iheartradio and the Muscular Dystrophy Association and are subject to change in MDA's and Clear Channel Radio Digital's sole discretion.
The Company reserves the right to air or not air the winning song on-air.
The prize(s) that may be awarded to the eligible winner(s) are not transferable, redeemable for cash or exchangeable for any other prize. Winner(s) must present state authorized identification prior to being awarded the prize. All prizes or prize vouchers must be redeemed from the Company within 60 days of the contest end date unless stated otherwise in these official rules. Certain prizes are date specific (i.e. concerts, trips) and the winner or winners must be available on the dates specified. If a winner cannot be contacted or is disqualified for any reason, the Company reserves the right to determine an alternate winner or not to award that winner's prize, in its sole discretion.
3. Eligibility and Limitations. Participants and winner(s) must be U.S. residents, at least 18-years old, as determined by the Company. If the contest is open to minors, a parent or guardian of any participant who is a minor must sign a release on behalf of the minor to be eligible to receive a prize, however, the Company reserves the right to refuse to award a prize to any minor. Unless otherwise stated above, only one (1) entry per person. Only one (1) prize per household for the Contest for any sixty (60) day period. Employees of the Company, the Contest's participating sponsors and their advertising agencies, employees of other radio or television stations, and members of the immediate family of any such persons are not eligible to participate and win. The term "immediate family" includes spouses, siblings, parents, children, grandparents, and grandchildren, whether as "in-laws," or by current or past marriage(s), remarriage(s), adoption, co-habitation or other family extension, and any other persons residing at the same household whether or not related.
4. Telephone and Delivery Disclaimer. If a contest is a call in to win contest and/or a telephone is needed to participate in the Contest, participants are restricted to the use of ordinary telephone equipment. Participants that enable the "Caller ID" block function will not be allowed to participate unless they enter their correct area code and telephone number if prompted, or disable the features inhibiting their participation in the Contest. Participants using equipment not set up for toll free phone exchanges (800, 888, 877, 866, etc.) may experience call connection problems. The Company disclaims all liability for the inability of a participant to complete or continue a telephone call due to equipment malfunction, busy lines, inadvertent disconnections, acts beyond the Company's control, or otherwise. For all contests the Company disclaims all liability for any delays, misdelivery, loss, or failure in the delivery of any item sent by mail, courier, express, electronic transmission, or other delivery method. The Company is not responsible for mechanical, technical, electronic, communications, telephone, computer, hardware or software errors, malfunctions or failures of any kind, including: failed, incomplete, garbled or delayed transmission of online entries, traffic congestion on telephone lines, the Internet or at any website or lost or unavailable network connections which may limit an online entrant's ability to participate in the Contest, and any injury or damage to entrant's or any other person's computer related to or resulting from participating in or downloading any information necessary to participate in the Contest. Entry forms in a register-to-win contest must be handwritten. No photocopies or mechanical reproductions of entry forms is permitted.
5. Publicity; Use of Personal Information. By participating, where allowed by law, all participants and winner(s) grant the Company and Muscular Dystrophy Association exclusive permission to use their names, characters, photographs, voices, and likenesses in connection with promotion of this and other contests and waive any claims to royalty, right, or remuneration for such use. By participating in the Contest, where allowed by law, participants agree that the Company may disclose personal information obtained from participants in the Contest to third parties and use such information for marketing and other purposes.
6. Consumer Created Content. If the entry for the Contest requires creative material from the participant/entrant, by submitting your entry: (1) you agree that your disclosure is gratuitous, unsolicited and without restriction and will not place the company or contest sponsors under any fiduciary or other obligation, that the company is free to disclose the ideas on a non-confidential basis to anyone or otherwise use the ideas without any additional compensation to you; (2) you acknowledge that, by acceptance of your submission, the company and contest sponsors do not waive any rights to use similar or related ideas previously known to sponsor, or developed by their employees, or obtained from sources other than you; (3) you are verifying that you are the owner and producer of the submitted material and that no third party ownership rights exist to any material submitted which would restrict the rights granted hereunder, and (4) in consideration of the chance to win a prize hereunder, you are hereby granting the company and the station a perpetual, worldwide, non-exclusive, royalty-free, sub-licensable (through multiple tiers) right and license to use, publish, reproduce, display, perform, adapt, modify, distribute, have distributed and promote such content in any form, in all media now known or hereinafter created, anywhere in the world, for any purpose.
7. Release. By participating in the Contest, each participant and winner waives any and all claims of liability against the Company, Muscular Dystrophy Association, the Contest's sponsors, and their respective directors, officers, employees and agents, for any personal injury or loss which may occur from the conduct of, or participation in, the Contest, or from the use of any prize. In order to receive a prize, participants must sign an official waiver form provided by the Company.
8. Taxes. Any valuation of the prize(s) stated above is based on available information provided to the Company, and the value of any prize awarded to a winner may be reported for tax purposes as required by law. Each winner is solely responsible for reporting and paying any and all applicable taxes related to the prize(s) and paying any expenses associated with any prize which are not specifically provided for in the official rules. Each winner must provide the Company with valid identification and a valid taxpayer identification number or social security number before any prize will be awarded. Any person winning over $600 in prizes from the Company will receive an IRS form 1099 at the end of the calendar year and a copy of such form will be filed with the IRS.
9. Conduct and Decisions. By participating in the Contest, participants agree to be bound by the decisions of Company personnel. Persons who violate any rule, gain unfair advantage in participating in the Contest, or obtain winner status using fraudulent means will be disqualified. Unsportsmanlike, disruptive, annoying, harassing or threatening behavior is prohibited. The Company will interpret these rules and resolve any disputes, conflicting claims or ambiguities concerning the rules or the Contest and the Company's decisions concerning such disputes shall be final. If the conduct or outcome of the Contest is affected by human error, any mechanical malfunctions or failures of any kind, intentional interference or any event beyond the control of the Company, the Company reserves the right to terminate this Contest, or make such other decisions regarding the outcome as the Company deems appropriate. All decisions will be made by the Company and are final. The Company may waive any of these rules in its sole discretion. Any attempt by an entrant or any other individual to deliberately circumvent, disrupt, damage or undermine the legitimate operation of this Contest is a violation of criminal and civil laws. Should such an attempt be made, the Company reserve the right to seek civil and/or criminal prosecution and/or damages from any such person to the fullest extent permitted by law.
10. Miscellaneous. Void where prohibited. Odds of winning depend upon the number of participants. Each winner must submit proof of eligibility and sign the Company's release form to claim the prize. The Company may substitute prizes, amend the rules or discontinue the Contest at any time as announced on the Station(s). The Company disclaims any responsibility to notify participants of any aspect related to the conduct of the Contest. For a copy of the rules, or where required by law, a list of winners, visit the business office of the Station during normal business hours or visit the Station's website. All entries become the property of the Company and will not be returned.
11. Compliance with Law. The conduct of the Contest is governed by the applicable laws of the United States of America, which take precedence over any rule to the contrary herein. Station(s) shall follow the applicable laws for conducting contests, including notice to the state attorney general or consumer affairs office, posting of a prize bond, furnishing lists of winners, running specific on-air disclaimers, providing specific written information about the Contest, etc. as required by local and state law.
